Terms of Service

These Terms of Service ("Terms") govern your access to and use of Warmlane's websites, software, and services ("Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you represent that you are authorised to bind that business.

1. The Services

Warmlane provides an AI Sales Agent - software that answers your business's inbound phone calls - answering questions from the business information you give us, taking callers' details, booking appointments on your connected calendar, sending confirmations, and transferring or forwarding calls to you. Setup and ongoing support ("done-for-you setup") are included: we configure the agent, your calendar, and your phone number with you. Any additional managed work is agreed with you separately.

2. Eligibility and accounts

You must be at least 18, able to form a binding contract, and using the Services for business purposes. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

3. Free trial

Every new account starts with a 14-day free trial. No payment card is required to start. When the trial ends, you can add a card to continue on a paid subscription; if you don't, your account pauses - your agent stops answering calls, you are not charged, and your data is kept so you can pick up where you left off.

4. Fees, billing, and taxes

Subscriptions are billed monthly in advance through our payment provider (Stripe) until cancelled. The price you subscribe at - including any founding price - stays the same for as long as that subscription remains active. Fees are exclusive of taxes, which you are responsible for where applicable. You can cancel at any time from your account's billing settings or by emailing us; cancellation stops future renewals and takes effect at the end of the current billing period.

5. Your phone and AI provider accounts

The Services run on your own Twilio (telephony) and OpenAI (AI) accounts, which we help you create and connect during setup. You pay those providers directly, their own terms apply to your use of them, and you are responsible for their charges. Warmlane does not mark up those costs.

6. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

7. Your responsibilities and acceptable use

You are responsible for how your agent is configured and used. You agree that you will:

• Provide accurate business information (prices, hours, services, policies) and keep it up to date - the agent answers callers from what you give it;
• Comply with laws that apply to your calls and your business, including any requirement to tell callers they are speaking with an automated assistant and any call-recording or consent rules in your state;
• Not use the Services for unlawful, deceptive, or harassing purposes, or to make unsolicited outbound calls or messages;
• Not rely on the agent to give legal, medical, financial, or other professional advice, or to handle emergencies.

We may suspend or terminate use that violates these Terms or that risks harm to the Services, callers, or third parties.

8. Not an emergency service

Warmlane is not an emergency service and must not be relied on for emergencies. Callers facing an emergency should contact 911 or the appropriate emergency service.

9. Customer data and licence

You retain ownership of the data you provide and the call data your agent collects (such as transcripts, caller details, and bookings). You grant us a limited licence to host and process it solely to provide and improve the Services and as instructed by you. We may use aggregated, de-identified data to operate and improve the Services. Our Privacy Policy explains how we handle personal information.

10. Intellectual property

The Services, software, and all related materials are owned by Warmlane and its licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, reverse engineer, or resell the Services except as permitted by law or a separate written agreement with us.

11. Third-party services

The Services work with third-party providers (for example, Twilio, OpenAI, Stripe, Google Calendar, and Calendly). Your use of those services is subject to their terms, and we are not responsible for third-party services or their availability.

12. No guarantee of results

We provide the Services with commercially reasonable care. AI can make mistakes, and results depend on factors outside our control, including your business information, call volume, and your market. We do not guarantee any specific number of calls answered, bookings, customers, or revenue.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available", and we disclaim all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, Warmlane will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or business opportunities (including missed or mishandled calls). Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months before the event giving rise to the claim.

15. Indemnification

You will indemnify and hold Warmlane harmless from claims and liabilities arising out of your data, your agent's configuration, your use of the Services, or your breach of these Terms or applicable law.

16. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Services. On termination, your right to use the Services ends; sections that by their nature should survive will survive.

17. Changes

We may update the Services and these Terms from time to time. Material changes will be posted here with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance.

18. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The state and federal courts located in Wyoming will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
