Terms of Service

These Terms of Service ("Terms") govern your access to and use of WarmLane's websites, software, and services ("Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.

1. The Services

WarmLane provides (a) self-serve software for running outreach and managing leads, and (b) an optional managed "done-for-you" service in which we run outreach and/or answer inbound enquiries on your behalf. Specific scope, channels, and deliverables for the managed service are agreed separately with you.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

3. Free trial

A 14-day free trial is available on the Starter plan only, with no credit card required to start. Other plans begin as paid subscriptions. When a trial ends, you may select a paid plan to continue; sending features pause until you do.

4. Fees, billing, and taxes

Paid plans are billed in advance through our payment provider (Stripe) on a monthly or annual basis until cancelled. Usage above your plan's included allowance is metered and billed in arrears. Fees are exclusive of taxes, which you are responsible for where applicable. Managed-service fees are quoted and invoiced separately under the terms agreed with you. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

5. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

6. Your responsibilities and acceptable use

You are responsible for the data and content you provide and for your use of the Services. You agree that you will:

  • Only upload contact data you are lawfully entitled to use, and only contact people where you have a lawful basis and any required consent;
  • Comply with all applicable laws, including anti-spam and electronic-messaging laws (such as CAN-SPAM, GDPR/ePrivacy where applicable, TCPA, and carrier requirements such as A2P 10DLC);
  • Honour opt-out, unsubscribe, and STOP requests;
  • Not send unlawful, deceptive, infringing, harassing, or otherwise prohibited content, and not use the Services to send spam or malware.

You are solely responsible for the consequences of your messages and lists. We may suspend or terminate use that violates these Terms or that risks harm to the Services or third parties.

7. Customer data and licence

You retain ownership of the data and content you provide. You grant us a limited licence to host, process, and use it solely to provide and improve the Services and as instructed by you. We may use aggregated, de-identified data to operate and improve the Services.

8. Intellectual property

The Services, software, and all related materials are owned by WarmLane and its licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, reverse engineer, or resell the Services except as permitted by law.

9. Third-party services

The Services integrate with third-party providers (for example, payment, messaging, AI, and calendar providers). Your use of those services may be subject to their terms, and we are not responsible for third-party services.

10. No guarantee of results

The Services are provided on a commercially reasonable-efforts basis. Results from outreach depend on factors outside our control, including your offer, list quality, and market. We do not guarantee any specific number of meetings, leads, revenue, or other outcomes.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available", and we disclaim all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, WarmLane will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months before the event giving rise to the claim.

13. Indemnification

You will indemnify and hold WarmLane harmless from claims and liabilities arising out of your data, your content, your use of the Services, or your breach of these Terms or applicable law.

14. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Services. On termination, your right to use the Services ends; sections that by their nature should survive will survive.

15. Changes

We may update the Services and these Terms from time to time. Material changes will be posted here with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which WarmLane is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
